5. Ownership and Intellectual Property Rights

5.1 AIDERP Proprietary Assets

Our organization maintains exclusive ownership of:

  • Custom-developed AI engines, predictive models, and machine learning architectures
  • Generative AI systems and autonomous agent frameworks we’ve created
  • Diagnostic tools, optimization platforms, and monitoring technologies
  • Advisory frameworks, evaluation methodologies, and strategic blueprints
  • Educational resources, technical documentation, and knowledge repositories

5.2 Client Rights to Deliverables

  • Organizations receive defined usage entitlements for engagement outputs, analysis reports, and strategic recommendations.
  • Bespoke configurations, process designs, and integration solutions developed exclusively for clients may involve joint or client-controlled intellectual property as contractually specified.
  • Precise ownership terms are articulated within individual project agreements.
  • Your organization maintains full ownership of business information, ERP content, and proprietary operational data.

5.3 Third-Party Platform Rights

Enterprise resource planning platforms, including Microsoft, SAP, Oracle, and Infor products, remain the intellectual property of their respective manufacturers. AIDERP provides expert consulting without claiming ownership of these third-party solutions.

6. Information Security and Privacy

6.1 Confidentiality Commitments

  • Both organizations commit to protecting sensitive information exchanged throughout our partnership.
  • Protected information encompasses technical architectures, business intelligence, ERP configurations, AI implementations, financial records, and proprietary methodologies.
  • Confidentiality duties extend five years following engagement conclusion.

6.2 Data Safeguarding Practices

  • We maintain rigorous security protocols to protect organizational data and ERP system intelligence.
  • Our AI architectures incorporate privacy-first design principles and data minimization strategies.
  • Organizations bear responsibility for ensuring regulatory compliance appropriate to their industry (including GDPR, CCPA, HIPAA, and sector-specific requirements).

  • Data Processing Agreements are available for organizations operating under heightened regulatory frameworks.

6.3 AI Enhancement and Learning

Anonymized, aggregated insights may inform the evolution of our AI capabilities and consulting approaches, except where contractually restricted. Individual organizational data, unique configurations, and proprietary business intelligence remain strictly isolated and are never utilized for cross-client model training.

7. Liability Boundaries

7.1 Financial Limitation

Our maximum financial responsibility for claims arising from service delivery is capped at the aggregate fees paid for the specific engagement that generated the claim.

AIDERP bears no responsibility for:

  • Secondary, incidental, consequential, or exemplary damages
  • Foregone profits, revenue streams, business prospects, or anticipated savings
  • Third-party initiated claims or legal actions

  • ERP platform unavailability or performance degradation beyond our reasonable control
  • Organizational choices informed by AI-generated insights or guidance
  • Integration challenges with external ERP solutions or vendor-initiated software updates
  • Business disruption or operational postponements

7.2 AI Technology Acknowledgments

Essential Disclosure: AI-generated insights, forecasts, and strategic guidance derive from available information and computational analysis. Despite our commitment to precision, AI technologies may yield partial, inaccurate, or unanticipated outputs. Organizations should independently validate AI-generated recommendations and apply professional judgment prior to execution.

8. Financial Terms

8.1 Payment Structure

  • Fee schedules are documented in service agreements and project statements of work.
  • Accepted payment mechanisms (electronic transfer, automated clearing house, and payment cards) and billing cycles are contractually defined.

  • Overdue balances may accrue interest at 1.5% monthly or the maximum legally permissible rate.

8.2 Service Interruption Rights

  • We maintain the authority to pause service delivery for accounts thirty days past the payment deadline.
  • Service restoration requires complete settlement of outstanding obligations plus applicable interest charges.
  • Service interruption does not eliminate financial obligations.

8.3 Supplementary Costs

Travel requirements, external software licensing, and other pre-approved expenses will be invoiced separately or incorporated into engagement fees as contractually specified.

9. Relationship Conclusion

9.1 Standard Termination Procedures

Either organization may discontinue services through written notification following the notice period specified in the service agreement (commonly 30-60 days for ongoing relationships).

11.2 Mediated Resolution

Should direct negotiation prove unsuccessful, both parties commit to mediation through a mutually acceptable neutral mediator before pursuing litigation or arbitration.

11.3 Legal Jurisdiction

These Terms & Conditions are interpreted under the laws of [Your Jurisdiction/State], excluding conflict of law doctrines. Legal proceedings must be initiated in the appropriate state or federal courts serving [Your Jurisdiction].

14.1 Uncontrollable Circumstances

Neither organization bears liability for performance failures attributable to circumstances beyond reasonable control, including natural catastrophes, armed conflict, terrorism, pandemic events, or governmental directives.

Should any provision be deemed unenforceable, all remaining provisions retain full validity, and the problematic provision shall be modified minimally to achieve enforceability.

14.4 Complete Agreement

These Terms & Conditions, combined with your applicable service agreement, represent the complete understanding between organizations and supersede all previous communications and proposals.
